As far as a bootup -

time wise, XP boots up as much as twice as fast as 2000.

Try XP, if it upgrades, or do a clean install, you will not be sorry.
My opinion only, if it counts based on over 200 corp. and individual upgrades and clean installs.

Do not settle on 128MB RAM, get 256MB, price difference right now is minimal.
