and i beileve that the 10 activations is for all the 3 version of the .net.

standard, enterprise 32bit, and enterprise 64bit

I just got the cd - and yes activations.

However - my sound is disabled in both computers - anyone know why or how to fix it?

Yep Norm... go to Control Pannel, Admin tools, services...

Start windows audio (its disabled by default)...

As to the 10 activations, thats always been the case on MSDN so it doesnt surprise me... There are apparently ways to increase the limit tho ;)

I think the key is good for 10 systems and you can re-activate as many times as you want. As long as the hardware configuration does not significantly change, it counts as the same system.
